»Shareholder and executive board disputes

Our advisory service centres on both disputes between shareholders and disputes between a company and its shareholders (including disputes concerning shareholders' exclusion, compensation and requests for information). Our skills include supervising negotiations or conflicts between companies and business leaders. Besides establishing the grounds of employment contracts and enforcing them, the focus here is also on the dismissal or resignation of managing directors and revocation of the authority to manage and represent the company. We do not just provide our clients with discreet support when taking extrajudicial action; we also represent their interests before ordinary courts or arbitration courts.

»Company restructuring and reorganisation

We advise business founders, companies and their managing directors, executive boards and supervisory boards on the structural reorganisation of companies, e.g. on reorganisation under the German Reorganisation Act (UmwG, Umwandlungsgesetz), or alternative forms of corporate restructuring. For example, this includes concluding control agreements and profit and loss transfer agreements or integration in accordance with the German Stock Corporation Act (AktG, Aktiengesetz). Besides classic issues of corporate law, our experience also covers aspects of employee participation in the supervisory board of the companies concerned.

»Buying and selling companies

Our solicitors have a wealth of experience in providing legal support when buying and selling companies, particularly medium-sized companies, shareholdings and joint ventures. Our service covers the entire transaction process, from undertaking due diligence to negotiating the contract documents and signing the contracts. Following successful execution of a transaction, we support buyers in the subsequent integration of companies into existing company or group structures.

If company purchases lead to conflicts between the buyer and seller, we support our clients with enforcing and defending claims. Typical cases of this include disputes due to breaches of warranties from company purchase agreements.

»Company formations ("start-ups")

Whether choosing the most suitable legal form, preparing the articles of association or structuring the shareholders' agreement or the shareholdings of institutional investors, we develop individual solutions that incorporate our clients' strategic interests. In this field, our solicitors have extensive expertise in designing share ownership schemes that optimise employee motivation and thus the company's creation of value.
